UTXO ONE SECURITY — END-USER LICENSE AGREEMENT

1. OWNERSHIP
   UTXO One Security (the "Software") is published by UTXO Core Labs,
   operating under the trade name Huri's, with registered offices in
   Stuttgart, Germany. All intellectual property in the Software —
   including source code, binaries, installers, icons, brand assets,
   documentation, design tokens and marketing copy — is owned by
   UTXO Core Labs and protected under German and international
   copyright, trademark and database-rights law.

2. LICENSE GRANT
   Subject to your acceptance of this EULA and, where applicable,
   payment of subscription fees, UTXO Core Labs grants you a personal,
   non-exclusive, non-transferable, revocable license to install and
   use the Software on the devices covered by your plan. The license
   is granted, not sold.

3. PERMITTED USE
   The Software may be used for lawful purposes inside the entity to
   which the license is issued. Multi-tenant resale, white-labelling,
   embedding the Software in a competing product or providing the
   Software as a service to third parties is prohibited without a
   separate written agreement.

4. RESTRICTIONS
   You may not (a) decompile, disassemble, reverse engineer or attempt
   to derive source code; (b) remove or alter copyright, trademark or
   proprietary notices; (c) use the Software to train, fine-tune or
   evaluate machine learning models; (d) circumvent license
   enforcement; or (e) use the Software in safety-critical or
   life-supporting systems. Mandatory legal exceptions remain
   unaffected.

5. LOCAL-FIRST & PRIVACY
   UTXO One Security is designed local-first. By default no personal
   data, files, credentials, transactions or telemetry leave your
   device. If you enable an optional integration (cloud backup, AI
   Gateway, email gateway, payment rail), the corresponding
   third-party terms apply to that flow. UTXO Core Labs publishes a
   separate Privacy Notice at www.utxosuite.com/legal.

6. UPDATES
   The Software may receive signed updates. You may decline
   non-security updates from Settings; security patches may be
   required to continue using paid features and may be applied
   automatically when a critical CVE is published.

7. SUBSCRIPTION & BILLING
   Paid tiers are billed through UTXO Pay on the Stripe rail in USD
   reference. Prices on the website are converted to your local
   currency at the live FX rate; the actual charge is processed in
   USD on your card. Subscriptions renew automatically until
   cancelled. Refunds are issued pro-rata in accordance with EU
   consumer law for purchases by consumers within the 14-day
   withdrawal period.

8. LICENSE KEYS
   Each license key is bound to the seat count of your plan. Sharing
   keys with users outside your organization terminates the license.
   UTXO Core Labs may verify license validity against the activation
   endpoint with the minimum personal data required (key, device
   identifier).

9. WARRANTY DISCLAIMER
   The Software is provided "as is" and "as available". To the
   maximum extent permitted by law, UTXO Core Labs disclaims all
   warranties, express or implied, including merchantability, fitness
   for a particular purpose, non-infringement and absence of bugs. No
   business software is infallible: you remain responsible for
   adequate backups and operational controls.

10. LIMITATION OF LIABILITY
    UTXO Core Labs's aggregate liability under this EULA shall not
    exceed the fees you paid for the Software during the most recent
    twelve (12) months, or EUR 100 if you use the free tier. UTXO
    Core Labs is not liable for indirect, incidental, consequential,
    special or punitive damages, or for lost profits, data, business
    or goodwill. Mandatory liability under product liability law, for
    fraud, or for death and personal injury caused by negligence is
    unaffected.

11. TERMINATION
    This license terminates automatically if you breach it. You may
    terminate at any time by uninstalling the Software and cancelling
    the subscription. Termination does not affect accrued rights or
    obligations.

12. EXPORT & SANCTIONS
    You confirm that you are not located in, and will not export the
    Software to, a country subject to EU or US sanctions, and that
    you are not listed on any restricted-party list.

13. CHANGES TO THE EULA
    UTXO Core Labs may amend this EULA with at least 30 days' notice
    for paid users. Continued use after the effective date
    constitutes acceptance. If you do not accept a change, you may
    cancel and receive a pro-rata refund of unused prepaid fees.

14. GOVERNING LAW & JURISDICTION
    This EULA is governed by the laws of the Federal Republic of
    Germany, excluding its conflict-of-laws rules and the United
    Nations Convention on Contracts for the International Sale of
    Goods. The competent courts of Stuttgart, Germany shall have
    exclusive jurisdiction, without prejudice to mandatory consumer
    protection rules in your country of residence.
